Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and PTH Global ("TucDesk", "we", "us", or "our") governing your access to and use of the TucDesk remote access platform, including all associated software, services, APIs, and documentation (collectively, the "Service").
You accept these Terms by: (a) clicking a button or checkbox presented with these Terms; (b) signing an order form or agreement that references these Terms; or (c) accessing or using the Service. If you are accepting on behalf of a company or legal entity, you represent that you have the authority to bind that entity.
We reserve the right to modify these Terms at any time. Material changes will be communicated via the dashboard or registered email address at least 14 days before taking effect. Continued use of the Service after any modification constitutes acceptance of the revised Terms.
Service Description
TucDesk is a secure remote access platform that enables encrypted peer-to-peer connections between devices. The Service provides:
- Encrypted P2P tunnels using ED25519 identity keys and AES-256-GCM transport encryption for all remote sessions
- Session management, audit trails, and recording capabilities accessible via a web dashboard and native clients (iOS, Android, macOS, Windows, Linux)
- Agent-based architecture where devices are registered with cryptographic identities — no central broker retains session content
- Organization management, user provisioning, access control, and API access for programmatic integration
The Service is provided "as-is" and we may update, modify, or discontinue features at any time with reasonable notice. We will make commercially reasonable efforts to maintain uptime and provide advance notice of planned maintenance.
User Accounts
To access the Service you must create an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated
- Maintain the confidentiality of your credentials, including passwords and any API tokens or session keys
- Immediately notify us at security@tucdesk.app of any unauthorized use of your account or any security breach
- Accept full responsibility for all activity that occurs under your account
You may not share account credentials with third parties or create accounts using automated means. We reserve the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period, with prior notice where practicable.
Organization administrators are responsible for managing user access within their organization, including revoking access for departed employees or contractors in a timely manner.
Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. TucDesk is designed for legitimate remote access scenarios including IT support, system administration, software development, and team collaboration.
You agree that you will:
- Only access devices and systems for which you have explicit authorization from the device owner or system administrator
- Comply with all applicable local, state, national, and international laws and regulations when using the Service
- Use the Service in a manner that does not negatively impact other users or the integrity and availability of our infrastructure
- Maintain appropriate security controls for all devices registered as agents within your organization
Prohibited Activities
The following activities are strictly prohibited. Violation may result in immediate account termination and, where appropriate, referral to law enforcement authorities:
- Accessing any computer system, network, or device without authorization, or exceeding your authorized level of access
- Using the Service to transmit, distribute, or store malware, ransomware, spyware, or any other malicious code
- Conducting unauthorized penetration testing, vulnerability scanning, or security assessments against third-party systems via TucDesk infrastructure
- Circumventing, disabling, or interfering with security features of the Service, including cryptographic authentication mechanisms
- Reverse engineering, decompiling, or disassembling any portion of the Service except as expressly permitted by applicable law
- Reselling, sublicensing, or providing the Service to third parties without our express written authorization
- Using the Service to facilitate the unauthorized access to, or exfiltration of, data from any system or organization
- Engaging in any activity that violates export control laws or trade sanctions, including accessing the Service from sanctioned jurisdictions
Intellectual Property
The Service, including all software, source code, algorithms, user interfaces, documentation, and associated intellectual property, is owned by PTH Global and protected by copyright, trade secret, and other applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. This license does not include any right to: sublicense, resell, or distribute the Service; create derivative works based on the Service; or use the Service in any manner that competes with us.
You retain all rights to data and content you transmit through the Service. You grant us only the minimal rights necessary to provide the Service — specifically, the right to transmit and temporarily buffer encrypted session data in the course of establishing connections. We do not claim any ownership over your data.
"TucDesk" and associated logos and marks are trademarks of PTH Global. You may not use our trademarks without prior written permission.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT OR DATA ACCESSED THROUGH THE SERVICE
While we implement strong cryptographic protections for data in transit, no security system is impenetrable. We do not warrant that the Service is immune to all security threats. You are responsible for implementing appropriate security controls within your organization and for the security of registered agent devices.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PTH GLOBAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, business, or goodwill
- Cost of substitute services
- Unauthorized access to or alteration of your transmissions or data
- Any other indirect or consequential losses
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Termination
Either party may terminate these Terms at any time. You may terminate by ceasing use of the Service and deleting your account. We may suspend or terminate your access immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- We are required to do so by law or court order
- Continued provision of the Service to you creates legal or reputational risk
- Your account has been inactive and you have not responded to notices
Upon termination, your right to access the Service ceases immediately. We will provide you a reasonable opportunity to export your data prior to account deletion, unless termination is due to a material breach. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 8, and 10) shall survive.
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable law. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
You agree to resolve any disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
